End-User License Agreement (EULA) Last Updated: January 13, 2026

This End-User License Agreement ("Agreement") is a legal agreement between you ("User" or "Client") and National Utility Advisors ("Company") regarding your use of the National Utility Advisors application ("Application").

1. Grant of License The Company grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application strictly in accordance with the terms of this Agreement.

2. Restrictions You agree not to, and you will not permit others to:

  • License, sell, rent, lease, assign, distribute, host, or otherwise commercially exploit the Application.

  • Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Application.

  • Use the Application for any unlawful purpose or in any way that violates any applicable federal, state, or local laws.

3. Data Access and Authorization By connecting the Application to your accounting software (e.g., QuickBooks Online, NetSuite), you expressly grant the Company permission to access, download, and store utility-related financial data and attachments for the purpose of performing cost-reduction audits. You represent that you have the authority to grant this access for the entity you are connecting.

4. Disclaimer of Warranties The Application is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. The Company disclaims all warranties, whether express or implied, including the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Application will be error-free or that specific savings will be achieved.

5. Limitation of Liability To the maximum extent permitted by law, in no event shall National Utility Advisors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of the Application.

6. Termination This Agreement is effective until terminated by you or the Company. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application.

7. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State, e.g., Utah], excluding its conflicts of law rules.
